Terms of Service

1. Agreement & Acceptance
These Terms of Service ("Terms") govern access to and use of the website, software development services, dedicated engineering squads, and technology consulting provided by Sazpress Private Limited ("Sazpress").
By browsing our site, executing a Master Services Agreement (MSA), or issuing a Statement of Work (SOW), you agree to be bound by these Terms.
2. Engineering Services & Engagement Models
Sazpress provides custom software development, cloud infrastructure design, mobile app engineering, enterprise AI deployment, and staff augmentation services under standard commercial arrangements:
- Dedicated Engineering Pods: Full-stack, autonomous squads operating on sprint cycles governed by agreed Jira metrics and milestone deliverables.
- Time & Materials (T&M): Flexible engineering capacity billed based on logged hours by senior engineers and architects.
- Fixed Scope Milestone Builds: Fixed price architectural builds defined by strict functional specifications and acceptance criteria.
3. Intellectual Property Ownership
Upon receipt of full payment under the relevant invoice, 100% of custom source code, documentation, designs, database schemas, and digital artifacts generated by Sazpress specifically for the Client shall be assigned exclusively to the Client as work-made-for-hire.
4. Billing & Commercial Terms
Invoices are issued monthly or upon milestone acceptance as specified in individual SOWs. Payments are due within net-30 days of invoice date unless otherwise specified. Taxes, duties, or statutory GST applicable in India shall be itemized separately.
5. Warranties & Limitation of Liability
Sazpress warrants that all code will be delivered free of known malicious code or deliberate backdoors, adhering to OWASP top-10 security guidelines.
Except as expressly provided in signed commercial MSAs, services are provided "as is". Neither party shall be liable for indirect, consequential, or punitive damages. Total aggregate liability under any SOW is capped at the fees paid by Client in the 12 months preceding the claim.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Courts in Chennai, Tamil Nadu shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.
